Terms of Service

Last updated: 10 October 2026 · Version 2026-10-10

What changed on 10 October 2026. Clause 7 is now called Template library. It covers every starting template in the library, including those adapted from public sources under the licences named on each, and says that where the law requires an official form, the library links to it instead. As before, you read, change and check a template before you use it, and you're responsible for what you send. Nothing else changed.
What changed on 9 October 2026. Scale can be bought by card through Stripe, as Solo and Team are, with its extra sessions and texts on your next invoice; an organisation can still arrange it with us, invoiced by us, under an agreement (clause 5). Nothing else changed.
What changed on 8 October 2026. The Free plan is 3 envelopes sent a month and up to 3 drafts at a time (clause 5). Clause 5 now covers single envelopes on Free and the SMS add-on on Solo and Team, gives Scale's package price, and says a founding price isn't changed by a later price change while you keep the same plan and billing frequency. Texting signers and company sign-in are no longer described as not available yet (clause 2), and a signer's link can go to their own mobile as well as their email (clause 10).
What changed on 7 October 2026. Legal hold (clause 9) is now an add-on to Scale rather than part of it: your workspace can place a hold when your Scale agreement includes the add-on. A hold keeps sent envelopes only, with their documents, sealed copies and audit trails; drafts, templates and other working files aren't held. Nothing else changed.
What changed on 1 October 2026. These terms now name the company you contract with, Au Fait Solutions Pty Ltd, trading as SignSwifly, and everyone who signs in to a workspace is asked to accept them in the app. New clauses cover the API and webhooks (part of every paid plan), the sample templates, keeping and deleting documents, legal hold, Microsoft 365, company sign-in and SCIM, and suspension. The billing clause now says how upgrades, downgrades and cancelling work, and the changes clause says how you'll be asked to accept a new version.

These terms are an agreement between Au Fait Solutions Pty Ltd (ABN 17 655 104 304), trading as SignSwifly ("SignSwifly", "we", "us"), and the business or person whose SignSwifly workspace it is ("you"). They cover the SignSwifly electronic signature service at signswifly.com.au and anz.signswifly.com.au, including the app, the public API and webhooks (the "Service").

1. Accepting these terms

  • Everyone who signs in to a SignSwifly workspace is asked to accept these terms in the app before using it for the first time, and again whenever we change them materially (clause 17). Until they accept, they can't use the workspace.
  • We keep a record of each acceptance: who accepted, the version of these terms, when, from which IP address and browser, and that it was in the app.
  • Each person who signs in accepts for themselves. If they use SignSwifly for a business or other organisation, they also accept on its behalf, and confirm that they're authorised to.
  • People who sign or witness a document sent through SignSwifly, or are copied in on one, don't accept these terms. Before a document opens for them to sign or witness, they agree to our Electronic Record and Signature Disclosure instead.
  • When you pay for a plan by card, Stripe's checkout may also ask you to agree to these terms.

2. The Service

SignSwifly lets you upload documents, place signature and other fields, send them to people to sign (including witnesses), and download completed documents that are digitally sealed together with a certificate of completion and audit trail. What each plan includes is on our pricing page.

During early access, features may change as we improve the Service.

3. Your workspace and account

  • Everyone who uses your workspace must give accurate account information and keep their sign-in secure. You're responsible for what's done in your workspace.
  • Everyone who uses your workspace must be at least 18 and able to enter binding contracts.
  • Your workspace's owner and admins decide who joins it and what each person can do. You're responsible for the people you invite to your workspace, and for anything done with your workspace's API keys.

4. Electronic signatures

Electronic signatures created through the Service are designed to satisfy the requirements of the Electronic Transactions Act 1999 (Cth), corresponding Australian state and territory legislation, and New Zealand's Contract and Commercial Law Act 2017. You agree to electronic signing as the method for the documents you send through the Service, and each signer agrees to it before the document opens. However, some documents (for example certain wills, powers of attorney, or documents with specific statutory witnessing requirements) may not be suitable for electronic signing in your jurisdiction. You are responsible for confirming that electronic signature is legally appropriate for each document you send. SignSwifly does not provide legal advice.

5. Plans, signing sessions and billing

  • The Free plan costs nothing. A Free workspace can send up to 3 envelopes a month, counted from the 1st of each month (at 10 or 11 am Sydney time), and hold up to 3 unsent drafts at a time, archived ones included.
  • On the Free plan, your workspace's owner can buy single envelopes, as one-off payments by card through Stripe, at the prices on our pricing page. One without SMS sends one envelope once the month's 3 are sent. One with SMS sends an envelope that texts its signers, whatever the month's count, or one past the month's 3: it can text up to 4 people and includes 4 texts, and codes to sign with are sent regardless. Single envelopes are for the workspace that bought them, don't expire, and stay with it if it moves to a paid plan, where one without SMS is used instead of an extra session being charged. They're paid for when you buy them and aren't refunded once used. If your workspace is closed, any not yet used end with it.
  • Solo, Team and Scale are billed in advance, monthly, quarterly or yearly, by card through Stripe. Prices are in Australian dollars and include GST, and you're charged in Australian dollars.
  • A signing session is one envelope sent for signature, however many people sign it. It's counted when the envelope is sent, so one that is later declined or voided still counts. Envelopes sent through the API count the same way as envelopes sent from the app, and a bulk send uses one session for each person on the list. An envelope sent on a single envelope isn't one of the month's sessions.
  • Sessions beyond your plan's monthly allowance are charged at the per-session rate on our pricing page, on your next invoice. On a quarterly or yearly plan, that is when the plan renews.
  • On Solo and Team, your workspace's owner can add the SMS add-on, billed monthly in advance by card through Stripe, on its own invoice, at the price on our pricing page. It includes a number of texts each month, counted from the 1st, and each text past them is charged at the rate on our pricing page on the add-on's next invoice; a text is never held back for it. A text is one message to one person, and a signer's code to sign with counts once for each signer. You can remove the add-on at any time: it ends when the month you've paid for ends, and envelopes already sent keep texting their signers. It follows your plan: moving from Solo to Team gives it Team's texts from that day, with the difference on its next invoice. It ends when your paid plan ends.
  • An upgrade takes effect straight away. You're charged then for the rest of the current period at the new price, less what's left of the old one, together with any extra sessions used so far.
  • If you upgrade and change how often you're billed at the same time, a new period at the new frequency starts straight away: you're charged for it in full, less what's left of the old one.
  • A move to a smaller plan, or a change only to how often you're billed, takes effect when your current period ends.
  • You can cancel at any time. You keep your plan until the end of the period you've paid for, and then your workspace moves to Free. If a payment fails and Stripe stops trying to collect it, your workspace also moves to Free. Nothing in it is deleted, and envelopes sent while you were on a paid plan stay available.
  • Scale is sold as a package at the price on our pricing page. It includes a number of texts each month, counted from the 1st; texts past them, and sessions past its allowance, are charged at the rates on our pricing page on your next invoice. An organisation can instead arrange Scale with us under an agreement, invoiced by us; its agreement may set different terms, such as more sessions or users, and where it differs from these terms, the agreement applies.
  • We may change our prices with at least 30 days' notice by email. You can cancel before the change takes effect.
  • A change to our prices doesn't change a founding price. A subscription on a founding price keeps it for as long as it stays on the same plan and billing frequency; changing either moves it to the price then current. A founding price is the plan's own price: other charges, such as extra sessions, the SMS add-on and its extra texts, and single envelopes, can change with notice like any other price.

6. Your content

  • You retain all rights to documents you upload. You grant us the limited licence needed to process, store, seal and deliver them as part of the Service, and to keep them as clauses 8 and 9 describe.
  • You warrant that you have the right to send each document and to invite each recipient, and that your content is lawful.

7. Template library

SignSwifly's template library gives you general starting templates as a drafting convenience. Some are adapted from public sources under the licences named on each template. They're not legal advice and aren't tailored to you. We take reasonable care in preparing the library, but we don't check whether a template suits your situation, industry or state, and the law may change after a template is added. Before you use one, read and change it, and check it with your own adviser or official sources. Where the law requires an official form, the library links to it instead of providing a template. You're responsible for the documents you send, including wording that came from the library. A template you copy is yours: we don't update your copy, and we may change or withdraw library items. Clause 15, including your rights under the Australian Consumer Law, applies.

8. Keeping and deleting documents

  • When everyone has signed, the documents and the certificate of completion are digitally sealed, so any later change to them shows.
  • On Solo, Team and Scale, completed documents stay available for as long as your workspace exists, unless you set a retention period on Scale.
  • On Free, the documents of an envelope sent on Free can be downloaded, by you and by its signers, for 6 months after the envelope finishes. After that we keep them but don't hand them out, unless you upgrade.
  • On Scale, your workspace's owner or an admin can set a retention period in Settings → Data & Retention, from 30 days to 10 years after an envelope finishes. After the period, its documents stop being handed out, to you and to signers. That can be undone by lengthening or clearing the period.
  • They can also confirm that, after the period, the documents as they were uploaded and any files signers attached should be deleted. Deletion starts 7 days after they confirm, so a mistake can be put right first. A deletion you confirmed is final: we won't restore those files, on request or otherwise. Our storage keeps deleted files for a short time only so we can recover from a fault of our own. The sealed documents and certificates are kept as described below, but aren't handed out.
  • The envelope's record and audit trail are never deleted by a retention period, and each deletion is recorded on the audit trail.
  • Whatever your setting, sealed documents and certificates of completion are kept in write-once storage in Australia for 7 years from sealing. Your retention period can stop them being handed out sooner, but can't shorten that. Once the 7 years are up, they're deleted only if you confirmed deletion; otherwise they're kept for as long as your workspace exists.
  • Keep your own copies of documents that matter to you. On Team and Scale, the owner or an admin can export a workspace's envelopes with their sealed documents and certificates.

9. Legal hold (an add-on to Scale)

  • If your Scale agreement includes the legal hold add-on, your workspace's owner or an admin can place a legal hold to preserve sent envelopes for a dispute, an investigation or an audit. A hold can name chosen envelopes (up to 500 in one request), or cover everything the workspace sends, narrowed if you choose to one sender and to a period. A hold keeps sent envelopes, with their documents, sealed copies and audit trails; drafts, templates and other working files, such as saved documents and PDFs saved in the PDF editor, aren't held.
  • A hold is your own instruction, and it overrides your own retention policy: a held envelope is neither withheld nor deleted by your retention policy until every hold on it is released. Your plan's other limits, such as Free's 6 months (clause 8), still apply. A hold doesn't stop an envelope being signed, declined or voided.
  • Placing and releasing a hold, with who did it and why, are recorded in your workspace's team activity, and a hold that names envelopes is also recorded on each one's audit trail.
  • If your workspace leaves Scale, or its agreement no longer includes the add-on, its holds stay in place and can still be released. A hold can't bring back documents that were already deleted.

10. Acceptable use

You must not use the Service:

  • to send unlawful, fraudulent or deceptive documents, or to impersonate another person;
  • to send unsolicited bulk mail;
  • to upload malware, or anything else designed to harm a computer or the people who open it;
  • to try to gain unauthorised access to the Service or anyone's data, or to probe, load-test or overload the Service without our written agreement; or
  • to get around your plan's limits or the API's rate limits.

Send each envelope to the person who is to sign it, at their own email address or mobile number, not a shared inbox or phone: their signing link is how they're identified. A signing link is personal to the person it was sent to. It keeps working while the envelope is open, even after reminders, unless the sender corrects their details or our support team replaces it, and after everyone has signed it is also where they download their copies.

11. The API and webhooks

  • The public API and webhooks come with every paid plan: Solo, Team and Scale. Each API key may make up to 600 requests a minute. Envelopes sent through the API count as signing sessions, as they do from the app (clause 5).
  • A key acts for your workspace as the owner or admin who made it. Keep your keys secret and on your own servers, and revoke any that may have leaked. You're responsible for what's done with them.
  • Webhook deliveries are signed. Your systems must check the signature before trusting a delivery.
  • An endpoint that fails every delivery for 3 days is switched off automatically, and your owner and admins are emailed. You can switch it back on once it's fixed.
  • We may suspend a key or a webhook endpoint that is abused or harms the Service. Where we reasonably can, we'll tell you first.
  • If your workspace moves to Free, its keys stop working and webhooks stop being sent until it's back on a paid plan. They're kept, and you can still revoke keys and remove endpoints.

12. Microsoft 365, company sign-in and SCIM (Scale)

  • On Scale, you can connect Microsoft 365. Your own Microsoft 365 admin approves the app "SignSwifly Connections" (verified publisher Au Fait Solutions Pty Ltd) and grants it one SharePoint site. SignSwifly then reads only the files a person picks, and saves completed envelopes only to the site you granted. You control that access and can remove it at any time, in SignSwifly and in Microsoft 365. What's saved to your Microsoft 365 is held there under your own agreement with Microsoft.
  • Company sign-in and SCIM provisioning are included in Scale, and we set them up with you. Your identity provider then decides who can sign in to your workspace, and SCIM adds, changes and removes members as your directory says. You're responsible for your identity provider and directory, and for who they let in.

13. Availability and support

The Free, Solo and Team plans are provided as is during early access, without a service level. We don't promise the Service will always be available or free of faults. A Scale agreement may set a service level; if it doesn't, this clause applies to Scale too. Nothing in this clause limits any right you have under the Australian Consumer Law (clause 15). For support, email us.

14. Suspension and closing your workspace

  • We may suspend a workspace, a person's access, an API key or a webhook endpoint that breaches these terms, abuses the Service, or puts the Service, our other customers or the people they send documents to at risk. Where we reasonably can, we'll tell you first and give you a chance to put it right.
  • You can stop using the Service at any time, and cancel a paid plan as clause 5 says. To close your workspace, email us. When it's closed, sealed copies stay in write-once storage until their 7 years are up, and we keep the records the law requires us to keep.

15. Liability and consumer guarantees

Under the Australian Consumer Law you may have rights, such as consumer guarantees, that can't be excluded. Nothing in these terms excludes, restricts or changes those rights, or any other liability that can't be excluded by law. Subject to that, our total liability arising out of the Service is limited to the amount you paid us in the 12 months before the claim, and we are not liable for indirect or consequential loss.

16. Privacy

How we handle personal information is described in our Privacy Policy.

17. Changes to these terms

  • We may update these terms as the Service changes. Each version has its date and version number at the top of this page, with a note of what changed.
  • If a change is material, we'll email your workspace's owner and admins before it takes effect. When it takes effect, everyone who signs in to your workspace is asked in the app to accept the new version before carrying on.
  • You don't have to accept it. If you don't, you can stop using the Service: your workspace's owner can still cancel a Solo or Team plan in the app without accepting (clause 5), and you can email us to close your workspace or for help taking a copy of your documents. Nothing in your workspace is deleted because you haven't accepted.
  • A change that isn't material, such as a correction or clearer wording that doesn't change your rights or obligations, takes effect when we publish it here.

18. Governing law

These terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of its courts.
